Glossary: Bulgarian company-formation terms

The terms used across the provider comparison, in plain English. Definitions are general information, not legal advice.

EOOD (ЕООД)
A Bulgarian single-member limited liability company (ednolichno druzhestvo s ogranichena otgovornost). It has exactly one owner, whose liability is limited to the company's capital. The most common structure for solo founders and freelancers.
OOD (ООД)
A Bulgarian limited liability company (druzhestvo s ogranichena otgovornost) with two or more shareholders. Liability is limited to the subscribed capital; ownership is divided into company shares.
Power of attorney (PoA)
A notarised document authorising a local representative (usually a lawyer) to act for the founder — signing incorporation documents, filing with the Commercial Register or dealing with banks. For remote formation the PoA is typically notarised in the founder's country and, depending on that country, apostilled and translated.
Apostille
An international certification under the Hague Convention that authenticates a public document (for example a notarised power of attorney) for use in another member country. Frequently required when formation documents are signed outside Bulgaria.
Capital-deposit account (nabiratelna smetka)
A temporary bank account opened in the name of the company-in-formation to deposit the share capital before registration. The Commercial Register requires proof of the deposit; after registration the account is converted or closed in favour of an operational account.
UBO (ultimate beneficial owner)
The natural person(s) who ultimately own or control a company. Bulgarian law requires beneficial owners to be declared to the register in certain cases, and banks verify UBOs during their know-your-customer (KYC) checks.
VAT / VIES
VAT is value-added tax; Bulgarian VAT registration can be voluntary or mandatory depending on turnover and activity. VIES is the EU's VAT Information Exchange System, where a Bulgarian VAT number can be validated for intra-EU business. VIES-relevant intra-EU supplies typically require Bulgarian VAT registration.
BULSTAT
Bulgaria's statistical business register and the identification code it issues. Companies registered in the Commercial Register use their UIC (EIK) for identification; certain other entities and branches register under BULSTAT.
Registered office (sedalishte i adres na upravlenie)
The official legal address of the company in Bulgaria, published in the Commercial Register and used for official correspondence. Providers often offer a registered-address service, usually billed per year — check what mail handling is included and for how long.
